A RESOLUTION OF THE MIAMI CITY COMMISSION PURSUANT TO SECTION 18-115 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"), ACCEPTING AN IN-KIND DONATION FROM MODIS ARCHITECTS, LLC, A FLORIDA LIMITED LIABILITY COMPANY ("DONOR"), WITH AN APPROXIMATE VALUE OF THREE HUNDRED FIFTY THOUSAND AND 00/100 DOLLARS ($350,000.00), TO THE CITY OF MIAMI'S ("CITY") OFFICE OF CAPITAL IMPROVEMENTS ("OCI"), IN THE FORM OF COMPREHENSIVE ARCHITECTURAL, PLANNING, AND DESIGN SERVICES ("SERVICES"), INCLUDING MASTER PLANNING, ZONING ANALYSIS, DESIGN PHASES AND SUBMITTALS, AND FULL ARCHITECTURAL SERVICES THROUGH ALL PROJECT PHASES; AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A GIFT AGREEMENT ("GIFT AGREEMENT") BETWEEN THE CITY AND THE DONOR, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR THE ACCEPTANCE OF SAID DONATION; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ALL OTHER DOCUMENTS, INCLUDING ANY RENEWALS, EXTENSIONS, OR MODIFICATIONS, ALL IN FORMS ACCEPTABLE TO THE C...

WHEREAS, the City of Miami ("City") owns and maintains Little Havana Domino Park located at 1444 SW 8th St, Miami, FL ("Domino Park"), a public park and cultural landmark located within the Little Havana neighborhood of the City; and

WHEREAS, the City has a need to reinvigorate Domino Park in order to preserve it as a beautiful, vibrant, and accessible public space ("Project"); and

WHEREAS, Modis Architects, LLC, a Florida limited liability company ("Donor"), has generously offered to donate to the City comprehensive architectural, planning, and design services ("Services") for the Project, including master planning, zoning analysis, design phases and submittals, and full architectural services through all Project phases, and to bear all costs associated with professional design fees, permitting expenses, and optional services such as renderings and construction-phase support ("Donation"); and

WHEREAS, the Donation has an approximate value of Three Hundred Fifty Thousand and 00/100 Dollars ($350,000.00) and shall be administered by the City's Office of Capital Improvements ("OCI"); and

WHEREAS, the Donation is made to the City at no cost and requires no expenditure of City funds; and

WHEREAS, Section 18-115 of the Code of the City of Miami, Florida, as amended ("City Code"), governs the City's acceptance of donations; and

WHEREAS, the partnership between the City, through OCI, and the Donor will facilitate the coordination of the Services required to renovate Domino Park, significantly enhancing the experience for both residents and visitors; and

WHEREAS, the acceptance of the Donation will be beneficial to the City by restoring historical elements of Domino Park while protecting the unique identity and pride of the Little Havana neighborhood; and

WHEREAS, the City Manager recommends, and the City Commission finds, that the acceptance of the Donation is in the best interests of the City and its residents;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section.

Section 2. Pursuant to Section 18-115 of the City Code, the Donation from the Donor, with an approximate value of Three Hundred Fifty Thousand and 00/100 Dollars ($350,000.00), to OCI, in the form of the Services, including master planning, zoning analysis, design phases and submittals, and full architectural services through all Project phases is accepted.

Section 3. The City Manager is authorized to negotiate and execute a Gift Agreement between the City and the Donor, in a form acceptable to the City Attorney, for the acceptance of said Donation.

Section 4. The City Manager is further authorized1 to negotiate and execute all other documents, including any renewals, extensions, or modifications, all in forms acceptable to the City Attorney in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose.

Section 5.  This Resolution shall become effective immediately upon its adoption and signature of the Mayor.
