A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A REVOCABLE LICENSE AGREEMENT ("AGREEMENT”), IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, BETWEEN THE CITY OF MIAMI (“CITY”) AND EXTRA CREDIT, INC, A FOREIGN FOR-PROFIT CORPORATION (“USER”), WHEREBY THE CITY GRANTS USER TEMPORARY ACCESS RIGHTS TO USE THE CITY-OWNED LOTS LOCATED AT 939 SW 8 ST, 955 SW 8 ST AND 965 SW 8 ST, MIAMI, FLORIDA 33130 AS MORE PARTICULARLY DESCRIBED IN EXHIBIT “A," ATTACHED AND INCORPORATED (COLLECTIVELY, “PROPERTIES”), FOR THE SOLE PURPOSE OF HOSTING A MARKETING AND PROMOTIONAL SOCCER EVENT (“EVENT”), WITH TERMS AND CONDITIONS AS SET FORTH IN THE AGREEMENT; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ALL NECESSARY DOCUMENTS, INCLUDING, BUT NOT LIMITED TO, AMENDMENTS AND MODIFICATIONS TO SAID AGREEMENT, ALL IN A FORM ACCEPTABLE TO THE CITY ATTORNEY.

WHERAS, Extra Credit, Inc,A Foreign For-Profit Corporation (“User”), has requested to use the Properties, specifically described in Exhibit “A,” attached and incorporated herein (“Premises”), for the sole purpose of hosting a marketing and promotional event celebrating soccer (“Event”); and
WHEREAS, the User wishes to use the Premises for the sole purpose of hosting the promotional Event from June 24, 2026, to July 22, 2026, not inclusive of setup and dismantle times (“Purpose”); and
WHEREAS, the City and User shall enter into a Revocable License Agreement (“Agreement") for the use of the Premises for the sole intended Purpose, and any other agreements or documents necessary for the purposes stated herein, all in a form acceptable to the City Attorney; and
WHEREAS, the City grants to User temporary access rights to use the Premises for the sole said Purpose subject to the terms and conditions as set forth in the Agreement; and
WHEREAS, the City Manager is requesting authorization to negotiate and execute the Agreement and any amendments thereto for the sole Purpose stated herein, in a form acceptable to the City Attorney; and
WHEREAS, the City granting to the User temporary access rights to use the Premises or the execution of the Agreement pursuant to this Resolution shall not be construed as the granting of any permits, as may be applicable, to the User to host the Event; and
WHEREAS, User shall secure all necessary permits and comply with all other applicable laws and regulations to host the Event on the Premises;
WHEREAS, in accordance with Section 2-33(f) of the City Code, the City Commission, by a majority vote, hereby deems this Resolution to be of an emergency nature;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1.The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized1 to negotiate and execute the Agreement, in a form acceptable to the City Attorney, between the City and User, whereby the City grants to User temporary access rights to use the Premises for the sole Purpose stated herein in accordance with the terms and conditions as set forth in the Agreement.
Section 3. The City Manager is further authorized to negotiate and execute all other necessary documents, including, but not limited to, amendments and modifications to said Agreement, for the sole Purpose stated herein, all in a form acceptable to the City Attorney.
Section 4. This Resolution shall become effective immediately upon its adoption.
